Agreement to Terms
By accessing our website, placing an order, subscribing to our services, or engaging with Komorebi Florals in any way, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use our services. Your continued use of our services constitutes acceptance of any modifications to these terms.
Services Description
Komorebi Florals provides floral arrangement services including hand-tied bouquets, corporate display arrangements, event floral design, weekly subscription services, and educational workshops. All services are subject to availability and seasonal variations. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. Product descriptions, images, and pricing information are subject to change.
Ordering and Payment
Orders can be placed by phone, email, or through our website. All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including product availability, errors in pricing or product information, or suspected fraudulent activity. Payment is due at the time of order unless alternative arrangements have been made for corporate accounts. We accept major credit cards, debit cards, and electronic payment methods. All prices are quoted in Japanese Yen and include applicable taxes unless otherwise stated.
Delivery and Fulfillment
We deliver within specified Tokyo wards during our standard delivery windows. Same-day delivery is available for orders placed before 2:00 PM, subject to availability and delivery area. Delivery fees vary based on location and are communicated at the time of order. You must provide accurate delivery information including recipient name, address, and contact details. We are not responsible for failed deliveries due to incorrect information provided by the customer. If the recipient is unavailable, we will attempt to contact them using the information provided. Perishable products cannot be returned once delivered.
Subscription Services
Weekly subscription services provide regular deliveries of seasonal arrangements. Subscriptions are billed on a recurring basis according to the plan selected. You may pause or cancel your subscription at any time with at least 48 hours notice before the next scheduled delivery. Refunds for subscription services are provided on a prorated basis for unused delivery periods. We reserve the right to substitute flowers of equal or greater value based on seasonal availability while maintaining the overall aesthetic of the arrangement.
Corporate Accounts and Retainers
Corporate clients may establish accounts with credit terms subject to approval and credit assessment. Corporate retainer agreements are customized based on service requirements and are governed by separate contractual terms in addition to these general terms. Corporate accounts are subject to periodic review and credit limits may be adjusted. Payment terms for corporate accounts are net 30 days unless otherwise specified in the account agreement.
Workshop Registration and Participation
Workshop registration requires advance payment. Cancellations made more than 72 hours before the scheduled workshop will receive a full refund. Cancellations made less than 72 hours before the workshop are non-refundable but may be transferred to another participant or rescheduled subject to availability. We reserve the right to cancel workshops due to insufficient enrollment or unforeseen circumstances, in which case full refunds will be provided. Workshop participants agree to follow all safety instructions and studio guidelines.
Product Quality and Freshness
We are committed to providing fresh, high-quality seasonal blooms. Due to the natural variation in flowers and plants, actual products may differ slightly from images or descriptions in terms of size, color, and specific varieties. We guarantee the quality and freshness of our products at the time of delivery. If you receive an arrangement that does not meet our quality standards, please contact us within 24 hours of delivery with photographic evidence. We will work with you to resolve the issue through replacement, credit, or refund as appropriate.
Intellectual Property Rights
All content on our website, including text, images, logos, designs, and arrangement concepts, is the property of Komorebi Florals and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without explicit written permission. Customer photographs of our arrangements may be shared on personal social media, but commercial use of our designs or branding requires prior authorization.
Limitation of Liability
To the maximum extent permitted by law, Komorebi Florals shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or products. Our total liability for any claim related to our services shall not exceed the amount paid by you for the specific product or service giving rise to the claim. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so some of these limitations may not apply to you.
Indemnification
You agree to indemnify and hold harmless Komorebi Florals, its owners, employees, and partners from any claims, damages, losses, liabilities, and expenses including legal fees arising from your use of our services, violation of these terms, or infringement of any third-party rights. This indemnification obligation survives termination of your relationship with Komorebi Florals.
Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, extreme weather conditions, acts of government, labor disputes, supplier failures, transportation disruptions, or other force majeure events. In such cases, we will make reasonable efforts to fulfill orders or provide suitable alternatives, but we reserve the right to cancel orders and provide refunds if fulfillment becomes impossible.
Dispute Resolution
Any disputes arising from these terms or our services shall first be addressed through good faith negotiation between the parties. If negotiation does not resolve the dispute within 30 days, the matter may be submitted to mediation. Any legal action must be brought in the courts of Tokyo, Japan, and shall be governed by Japanese law. By using our services, you consent to the exclusive jurisdiction of these courts.
Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated through our website or by email to registered customers. Your continued use of our services following any changes constitutes acceptance of the modified terms. We encourage you to review these terms periodically. The date at the top of this document indicates when the terms were last updated.
Account Termination
We reserve the right to suspend or terminate your access to our services, including subscription services and corporate accounts, if we believe you have violated these terms, engaged in fraudulent activity, or for any other reason at our sole discretion. Upon termination, any outstanding payments become immediately due, and you must cease using all Komorebi Florals services and content. Provisions of these terms that by their nature should survive termination shall remain in effect.
